On the one hand this is based on the independency of Switzerland and on the other hand it is the fact that Swiss companies have never been available as easy as in most other countries. The higher requirements during a company formation do guarantee that Swiss companies will keep their reputation in the future. On the following we distinguish between the Swiss GmbH and the Swiss AG.

Swiss GmbH

The GmbH is a Limited Liability Company. It requires a signed capital of 20.000,- CHF, half of which must be paid up during the registration. Names and nationality of all owners are filed in a public registry. There are no limitations on foreign owners, however Swiss laws do require a local director. WSR can of course provide a Swiss director. The fees for incorporating a GmbH start at 2.900,- Euro.

 

Swiss AG

The AG is a Corporation. It requires a signed capital of 100.000,- CHF, half of which must be paid up during the registration. The shareholders of a corporation can remain completely anonymous. Bearer shares are allowed. There are no limitations on foreign shareholders, however Swiss laws do require a local director. WSR can of course provide a Swiss director. The fees for incorporating an AG start at 2.900,- Euro.
